The specific scope of service is determined by the service description displayed at the time of purchase.
If a customer’s request falls outside the scope of the purchased service, Virello LLC may provide additional services subject to the customer’s confirmation.
- One-time Sale and Billing Terms
3.1 One-time Purchase
The IT technical support services provided by Virello LLC are sold on a one-time purchase basis.
Unless explicitly stated otherwise on the specific service page, the fees paid by the customer apply only to the current service item or order and do not automatically convert into a subscription, monthly or annual fee, or auto-renewing service.
Completing a single service purchase does not result in automatic recurring charges.
3.2 Service Fees
Service prices are determined by the rates shown on the website’s order page or the service quote confirmed by both parties.
Before submitting an order, the customer should confirm:

Applicable service conditions
By completing payment, the customer accepts the price and related service content displayed in the order.
3.3 Payment
We may process online payments through third-party payment processors.
Customers must provide accurate, complete, and valid payment information. If payment fails, is declined, or the transaction cannot be completed, Virello LLC reserves the right to suspend the provision of services until payment is successfully processed.
3.4 Price Changes
Virello LLC may adjust the prices for future services.
Price adjustments will not affect orders that the customer has already purchased and confirmed, unless otherwise required by law or agreed upon in writing by both parties.
- Service Commencement and Delivery
Upon receipt of valid payment, Virello LLC will arrange for the provision of services based on the specific service type.
Some services may be delivered via email, online communication tools, or remote technical support.
The specific timing of services may be influenced by factors such as:
The complexity of the issue
The condition of the customer’s equipment
The completeness of information provided by the customer
Network connectivity
The status of third-party software or services
Virello LLC will make reasonable efforts to provide services as agreed but does not guarantee that all technical issues can be fully resolved in a single service session.
- Customer Responsibilities
The customer is responsible for:
Providing true and accurate contact information
Providing an accurate description of the technical issue
Providing necessary information regarding equipment or software as required
Ensuring they have the legal right to use the relevant equipment, accounts, and software
Completing necessary preparations as requested prior to remote support
Backing up important files and data
Refraining from intentionally providing false or misleading information to Virello LLC
Customers should back up important data themselves before receiving technical support.
Virello LLC shall not be liable for data loss resulting from the customer’s failure to perform reasonable backups, except where liability is expressly required by law.
- Intellectual Property Rights
Except for materials legally owned by the customer and third-party intellectual property, all intellectual property rights regarding the Virello LLC website, service pages, text, graphics, logos, software tools, technical data, documentation, operational procedures, training materials, and other content belong to Virello LLC or its authorized licensors. Without the prior written consent of Virello LLC, the Customer shall not:
Reproduce our service materials;
Sell or resell the relevant materials;
Use the relevant materials for commercial redistribution;
Modify and publish the materials as their own commercial content;
Reverse-engineer our software or tools;
Remove copyright, trademark, or other proprietary notices; or
Otherwise infringe upon the intellectual property rights of Virello LLC.
The Customer’s purchase of IT technical support services does not imply a transfer of ownership of websites, software, tools, branding, technical materials, or other intellectual property from Virello LLC to the Customer.
- Service Deliverables and Ownership
Unless otherwise expressly agreed in writing in the order, ownership and intellectual property rights regarding general solutions, operational methods, technical processes, knowledge bases, templates, scripts, document formats, tools, and professional methodologies used by Virello LLC during the provision of IT technical support shall remain with Virello LLC.
Upon lawful payment of service fees, the Customer may use the service deliverables provided for their specific issues within the scope of their own business operations and personal use.
The purchase of this service does not constitute a transfer of Virello LLC’s intellectual property, software, tools, technical methods, branding, or commercial materials.
Ownership of documents, data, account information, and other content provided by the Customer to Virello LLC shall, in principle, remain with the Customer or the rightful owner thereof.
The Customer shall ensure that the materials provided to Virello LLC do not infringe upon the intellectual property rights or other legitimate interests of any third party.
- Third-Party Software and Services
IT technical support may involve third-party software, operating systems, cloud services, network services, or other third-party platforms.
Third-party software and services are subject to their respective license agreements and terms of service.
Virello LLC does not own or control third-party software and platforms, nor does it guarantee the continuous availability of third-party services.
If technical issues arise from third-party service failures, policy changes, account restrictions, or other third-party causes, Virello LLC will assist the Customer in troubleshooting to a reasonable extent but assumes no liability for the actions of third parties.
- Acceptable Use
The Customer may use our services only for purposes that are lawful, legitimate, and in compliance with these terms. Customers shall not use Virello LLC’s IT technical support services to:
Engage in any illegal activities
Gain unauthorized access to others’ computers or accounts
Bypass or compromise security measures
Distribute malware
Conduct cyberattacks
Steal or obtain data without authorization
Violate the privacy rights of others
Infringe upon intellectual property rights
Engage in fraudulent or deceptive activities
Disrupt third-party networks, systems, or services
Request Virello LLC’s assistance in carrying out illegal or unauthorized technical activities
- Prohibited Conduct and Consequences
If we reasonably believe that a customer has violated these terms or engaged in illegal, fraudulent, abusive, or unauthorized conduct, Virello LLC may, depending on the circumstances:
Refuse to provide relevant services
Suspend services
Terminate services
Restrict the customer’s access to relevant services
Cancel services that have not yet commenced
Reserve the right to take further legal action
If a customer’s conduct causes losses to Virello LLC, other customers, or third parties, Virello LLC reserves the right to seek appropriate legal remedies.
- Limitation of Liability
To the maximum extent permitted by applicable law, Virello LLC shall not be liable for any indirect, incidental, special, punitive, or consequential losses arising from:
Data loss
Business interruption
Loss of profits
Loss of revenue
Interruption of third-party services
Software or operating system failures
Network service interruptions
Failures of the customer’s own equipment
Customer operational errors
Unauthorized third-party actions
Virello LLC does not guarantee that any IT technical support will resolve all technical issues, nor does it guarantee that the customer’s equipment, software, or network will not experience related issues again after the service is completed.
To the maximum extent permitted by applicable law, Virello LLC’s aggregate liability arising from a specific service shall not exceed the fees actually paid by the customer for the specific service that gave rise to such liability.
The limitations of liability in these terms do not apply to liabilities that cannot be limited or excluded under applicable law.
- Service Disclaimer
Except for warranties expressly provided by applicable law, Virello LLC’s services are provided in accordance with the agreed scope of service.
We do not guarantee that:
All technical issues can be resolved
All third-party software is compatible
All equipment will function properly
Network connections will always be stable
Third-party platforms will always be available
Technical issues will not recur
The customer acknowledges that IT technical issues may be affected by equipment, software, networks, third-party services, and other factors beyond our control.
13. Dispute Resolution
If the customer has any dispute regarding the services, we recommend contacting Virello LLC via email first so that both parties can attempt to resolve the issue through good-faith communication.
If the parties are unable to resolve the dispute through direct communication, they may choose to resolve it through negotiation, mediation, or a court of competent jurisdiction, in accordance with applicable law.
Unless otherwise required by applicable law, any formal legal proceedings shall be submitted to a court with lawful jurisdiction over the dispute in question.
- Governing Law
These Terms and the relationship between the customer and Virello LLC arising from the services shall be governed by the laws of the U.S. state where Virello LLC is registered, excluding its conflict of law rules.
If applicable law requires the application of other laws or jurisdictions, these Terms shall be implemented in accordance with such legal requirements.
- Amendments to Terms
Virello LLC may update these Terms due to business changes, service adjustments, or legal requirements.
Updated Terms will be published on the website and will indicate the latest effective date.
For orders already purchased by the customer, the updated Terms will not alter the core commercial terms of confirmed orders, unless permitted by law or otherwise agreed upon by both parties.
- Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
- No Waiver
Failure by Virello LLC to immediately enforce any right under these Terms does not constitute a waiver of that right.
Any waiver of rights must be expressly made in a manner permitted by applicable law.
- Entire Agreement
These Terms, relevant policies published on the website, and the service descriptions confirmed at the time of purchase constitute the entire agreement between the customer and Virello LLC regarding the services.
In the event of a conflict between the written service terms of a specific order and these Terms, the specific written agreement applicable to that order shall prevail.
